Terms and Conditions for WheelDeal

1. Introduction
Welcome to WheelDeal, an online platform operated by WheelDeal Inc. ("we," "us," or "our"). WheelDeal provides a venue for users to list, advertise, and view motor vehicles for sale in Sri Lanka.
By accessing or using the WheelDeal website, mobile application, or any other service (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations of the Democratic Socialist Republic of Sri Lanka
If you do not agree with any part of these Terms, you must not use the Service.
2. Nature of the Service (Marketplace Disclaimer)
2.1. Role of WheelDeal: WheelDeal is a venue and a platform for buyers and sellers to meet and conduct transactions. We are not a party to any transaction between buyers and sellers. We do not own, buy, or sell the vehicles listed on the Service.
2.2. No Agency or Partnership: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and WheelDeal.
2.3. No Warranty on Listings: We do not make any representation or warranty as to the quality, safety, legality, accuracy, or ownership of any vehicle listed on our Service. All listings are provided by third-party users.
2.4. No Online Payment Processing: The Service does not facilitate or process any online payments. All transactions, negotiations, and payment arrangements are made directly between the buyer and the seller, and entirely at their own risk.
2.5. Third-Party Hosting: We use third-party services, such as Cloudinary, to host and serve media content (images) uploaded by users. By uploading content, you acknowledge that your media will be stored on these third-party servers.
3. User Accounts and Registration
3.1. Eligibility: You must be at least 18 years old and capable of forming a legally binding contract under Sri Lankan law to use the Service.
3.2. Account Security: You are responsible for maintaining the confidentiality of your account login information (provided by Clerk, our authentication service) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3. Accurate Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4. Seller Obligations and Listing Rules
4.1. Compliance with Law: Sellers must ensure that all vehicles listed comply with all applicable laws and regulations in Sri Lanka, including but not limited to road traffic laws, vehicle registration requirements, and tax laws.
4.2. Listing Accuracy: All information provided in a listing, including the vehicle description, price, images, and condition, must be accurate, truthful, and not misleading. Misrepresentation is strictly prohibited.
- Is false, inaccurate, or misleading (e.g., fraudulent ads).
- Infringes upon any third party's copyright, patent, trademark, trade secret, or other proprietary rights.
- Is defamatory, libelous, threatening, or harassing.
- Violates any law, statute, ordinance, or regulation of Sri Lanka.
4.4. Fraudulent Activity: Any listing suspected of being fraudulent, a scam, or intended to manipulate buyers will be immediately removed, and the associated user account will be suspended or terminated.
5. Buyer Obligations
5.1. Due Diligence: Buyers are solely responsible for conducting their own due diligence, including inspecting the vehicle, verifying the seller's identity, and confirming the vehicle's legal status (e.g., registration, clear title) before making any purchase.
5.2. Assumption of Risk: By using the Service, buyers acknowledge and agree that they assume all risks associated with the purchase of a vehicle, including the risk of fraud, misrepresentation, or defects.
6. Intellectual Property
All content on the Service, including text, graphics, logos, and software, is the property of WheelDeal or its content suppliers and is protected by Sri Lankan and international copyright laws.
By uploading images or other content to the Service, you grant WheelDeal a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content. You acknowledge and agree that WheelDeal may apply watermarks, logos, or other branding to your uploaded images to protect the content from unauthorized use and to identify the source of the listing.
7. Limitation of Liability and Indemnity
- The use or the inability to use the Service.
- The cost of procurement of substitute goods and services.
- Any unauthorized access to or alteration of your transmissions or data.
- The conduct or statements of any third party on the Service, including fraudulent or misleading listings.
7.2. Indemnity: You agree to indemnify and hold WheelDeal, its officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.
8. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts of Sri Lanka.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
